Terms of Service & End User License Agreement.

These Terms of Service (the “Terms”) govern your access to and use of WS Terminal (the “Software”), the W.S. Trading Co. cloud API and dashboard at api.ws-trading.co, the W.S. Trading Co. website at ws-trading.co, the documentation site at docs.ws-trading.co, and the W.S. Trading Co. Discord (together, the “Services”). They form a binding contract between you and W.S. Trading Co. (“we,” “us,” or “our”). Please read them carefully.

§ 01 — Acceptance

How you agree to these Terms

You accept these Terms when you do any of the following: complete a checkout for a WS Terminal subscription on Whop; download, install, or launch the Software; sign in to the Software with a Whop account; or access any of the Services. If you do not agree to these Terms, do not purchase, install, or use the Software.

You must be at least 18 years old, legally capable of entering a binding contract in your jurisdiction, and not subject to restrictions that prohibit you from receiving software, services, or payments under applicable U.S. law (including, without limitation, U.S. trade sanctions and embargo programs administered by the Office of Foreign Assets Control).

If you are accepting these Terms on behalf of a legal entity, you represent and warrant that you have authority to bind that entity, and references to “you” in these Terms include that entity. Note that single-user, single-machine licensing restrictions in § 03 still apply — an entity license requires one subscription per individual operator and one subscription per installation.

§ 02 — The product

What WS Terminal is

WS Terminal is a Windows desktop application that automates a Fair Value Gap (“FVG”) pyramiding trading strategy against your own brokerage account at Interactive Brokers. It runs on your computer (or a Windows VPS you control), connects to a local IB Gateway or Trader Workstation instance, detects configured patterns in market data your broker provides to you, and submits orders to your brokerage account on your behalf according to the parameters you configure.

The Services also include: a cloud API at api.ws-trading.co that handles license validation, live-trading acknowledgment audit logs, an aggregated track-record curve based on operator-account or licensee-opted-in trade data, and other supporting infrastructure; the W.S. Trading Co. website and documentation site; and the W.S. Trading Co. Discord community (currently restricted to Pro-tier licensees).

The Software is not a broker. It does not custody funds, hold securities, route orders to any exchange directly, or maintain a separate brokerage relationship with you. Every order the Software places is placed through your own brokerage account at Interactive Brokers, under your existing account agreement with Interactive Brokers, using market data your broker provides to you under your existing market-data subscription with the relevant exchange. W.S. Trading Co. is not a broker-dealer, not a futures commission merchant, not a Commodity Trading Advisor, not an NFA member, and not an investment adviser. § 03 — License grant

What you’re allowed to do with the Software

Subject to your compliance with these Terms and your payment of the applicable subscription fees, W.S. Trading Co. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one copy of the Software, in object-code form only, on a single computer (or a single virtual machine in the case of a VPS install) that you own or control, solely for your own personal trading or your authorized business trading, for the duration of an active paid subscription on the corresponding tier.

“Single computer” means one physical machine or one virtual machine. You may move your installation to a different machine you control (for example, replacing a laptop or migrating to a VPS), but the Software is licensed for use on one machine at a time per active subscription. To run WS Terminal on two machines simultaneously — for example, one local install for testing and one VPS install for production — you need two active subscriptions.

The license attaches to a single individual operator. License keys, Whop credentials, and the cloud-side license records are not shared or transferred between individuals. See § 07 below for what this means for prohibited use.

§ 04 — Tiers

Basic and Pro

WS Terminal is offered in two subscription tiers. Both ship the same trading engine and the same two recommended presets (WS Terminal Standard and WS Terminal Max). What differs is which configuration surfaces and ancillary services each tier unlocks.

Subscription prices, included features, and tier boundaries may change. Changes take effect for new purchases at the time the revised pricing is posted to /pricing.html. Changes to features included in an existing tier take effect at the start of the next billing period for existing subscribers, and we will surface material changes in the Software and by email to the address on file before they take effect.

Buyers may upgrade or downgrade tiers at any time from their Whop account. License keys, trade history, custom presets (where applicable), and other local state in %APPDATA%\WSTerminal\ are preserved across tier changes. After a downgrade from Pro to Basic, custom user presets are retained on disk but become read-only.

§ 05 — Subscription, billing, cancellation

How the subscription works

WS Terminal subscriptions are billed monthly through Whop (whop.com), which is our exclusive payment processor and license vendor. By purchasing a subscription, you also agree to Whop’s Terms of Service and Privacy Policy, which apply to the payment processing and account-management portions of your relationship with us. We do not have direct access to your payment instrument; Whop holds and processes it.

Subscriptions auto-renew at the end of each billing period until cancelled. You may cancel from your Whop account at any time. Cancellation takes effect at the end of the current billing period and you keep access to the Software until that date. Refund rules are in the Refund Policy; cancelling is not the same as requesting a refund.

If a renewal payment fails, your subscription enters a grace period. During the grace period, the cloud API may temporarily mark your license as read-only, which prevents the Software from placing new live orders while still allowing it to read your trade history and configuration. If payment is not restored before the grace period ends, your license is cancelled and the Software will operate in read-only mode until you re-subscribe.

All fees are exclusive of any applicable taxes, which are your responsibility. Where Whop is required to collect tax on our behalf, Whop will do so and the amount will appear on your receipt.

§ 06 — Permitted use

A breach of this § 07 is a material breach of these Terms and may result in immediate termination of your license under § 14, with no refund.

§ 08 — Intellectual property

Who owns what

The Software, the cloud API, the website, the documentation site, all source code, object code, configuration schemas, preset parameter sets, recommended-strategy logic, and all related documentation, designs, trademarks, logos, and brand elements (collectively, the “W.S. Trading Co. IP”) are and remain the sole property of W.S. Trading Co., its licensors, or both, and are protected by U.S. and international copyright, trademark, trade-secret, and other intellectual- property laws.

These Terms grant you a license to use the Software for the duration of an active paid subscription; they do not transfer title, ownership, or any other right in the W.S. Trading Co. IP. All rights not expressly granted to you in these Terms are reserved.

“WS Terminal,” “W.S. Trading Co.,” the WS Terminal wordmark, and any associated logos are trademarks of W.S. Trading Co. You may not use them in any manner that implies endorsement, partnership, or origin by W.S. Trading Co. without our advance written permission.

Your data. You retain ownership of the configuration data, custom preset definitions, trade logs, and acknowledgment records associated with your license. We receive a license to use the subset of that data you choose to sync to our cloud API for the purposes set out in the Privacy Policy (license validation, audit logs, aggregated track-record displays). We do not claim ownership of your trading activity itself.

Your feedback. If you submit suggestions, bug reports, feature requests, or other feedback to us through any channel (email, Discord, GitHub issue, in-app form), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback to improve the Software and Services, without attribution, compensation, or obligation to you.

§ 09 — License key & account security

Your responsibility for keeping access safe

Your WS Terminal license is tied to your Whop account. You are responsible for maintaining the security of your Whop credentials, your Discord credentials (if applicable), and the operating-system user account on the computer where you install the Software. We are not liable for losses, unauthorized trades, or other consequences attributable to your failure to maintain that security.

The Software stores a license token in %APPDATA%\WSTerminal\license.json on the computer where it is installed. That token, your Whop credentials, and our cloud API are the layers that validate your license. If your computer or your Whop account is compromised, contact [email protected] immediately. We can revoke license tokens, force re-authentication, and rotate cloud-side license records on request.

Notwithstanding any other provision of these Terms, the Software does not access, store, or transmit your brokerage credentials. You log in to IB Gateway or Trader Workstation independently of the Software, and the Software connects to the local gateway over a loopback interface using broker session credentials managed by IBKR’s software, not by ours.

§ 10 — Your obligations as operator

What you are responsible for

Your use of the Software is your operating decision. We do not direct your trading. Specifically, you are solely responsible for the items detailed in Disclaimer § 05, including parameter selection, brokerage selection, account funding, monitoring while running live, disabling the Software when conditions warrant, maintaining the operating environment, and complying with all laws, regulations, exchange rules, and broker rules applicable to your trading activity.

Before the Software will place any live orders on your behalf, you are required to complete the in-application live-trading acknowledgment described in the Disclaimer and the Trading Terms. You acknowledge that this acknowledgment is a contractual condition of using the Software for live trading and that we record it to an audit log retained for at least seven (7) years.

You represent that you have read the Disclaimer — including the verbatim NFA Compliance Rule 2-29(c)(1) hypothetical-performance disclaimer — before purchasing a subscription. The marketing materials on this website reference hypothetical, backtested, or operator-account performance results; those results are not a promise, prediction, or guarantee of how the Software will perform on your account.

§ 11 — Third-party services

Services we depend on, but don’t control

WS Terminal and its supporting Services depend on several third parties. Your use of those third parties is governed by their own terms, and we are not responsible for their availability, pricing, policies, or behavior:

If a third-party service degrades or becomes unavailable, the portions of the Software that depend on that service will degrade or become unavailable. We monitor for these failures and respond as we can, but we do not warrant that the third- party stack will always be operational. See the Disclaimer for the list of failure modes and the Trading Terms for the limitation-of-liability allocation.

§ 12 — Software updates

How updates work and what you consent to

We release updates to WS Terminal from time to time. Updates may include security fixes, defect fixes, performance improvements, new features, changes to existing features, and changes to the configuration schema, the recommended presets, or the way the Software interacts with your broker or the cloud API. You acknowledge that updates may, intentionally or unintentionally, change the behavior of the Software in ways that affect its trading output.

Update delivery is via a manual download-and-replace flow. When a new version is available, the in-application dashboard surfaces an update notification and links to the release. You download the new version, close the Software, replace the install folder, and relaunch. Your license, trade history, and configuration in %APPDATA%\WSTerminal\ are preserved across updates. We may, in the future, ship an in-application auto-updater; if and when we do, your continued use of the Software after the auto-updater is enabled constitutes your consent to receive auto-installed updates.

Material changes to in-application legal acknowledgments — including the live-trading acknowledgment and the auto-start acknowledgment — cause a SHA-256 mismatch with the previously accepted text and re-prompt you for acknowledgment on the next attempt to enable the relevant feature. This is the mechanism by which substantive legal changes are surfaced to existing users.

§ 13 — Privacy

What we collect and how it’s handled

Our handling of information about you is described in detail in the Privacy Policy, which is incorporated into these Terms by reference. In summary, we collect: the email address on your Whop license; an opaque license key; license-validation request metadata (IP, user agent); in-application acknowledgment records (timestamp, IP, user agent, software version, accepted-text hash); and the trade data your installation opts to sync to the cloud API. We do not collect your brokerage credentials, your brokerage account number, or any data from your local computer beyond what the Software explicitly sends.

Audit logs related to live-trading acknowledgments are retained for at least seven (7) years following license termination, as a regulatory-defense record. Other data is retained as described in the Privacy Policy.

§ 14 — Warranty disclaimer

The Software is provided AS-IS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND ALL OTHER SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

W.S. TRADING CO. SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, FITNESS FOR USE IN AUTOMATED FINANCIAL TRADING, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, W.S. Trading Co. does not warrant that: the Software will meet your requirements; the Software will operate without interruption, defect, or error; defects in the Software will be corrected; the Software will be compatible with any particular version of Windows, IBKR software, or any third-party software; the Software will be available continuously or at any particular time; the Software’s output, including the orders it places, will be profitable or even loss-limiting; or that the Software will perform consistently with any backtest, simulation, hypothetical result, or operator-account result displayed in the Software or on this website.

Some jurisdictions do not allow the exclusion of certain warranties. To the extent any warranty cannot be disclaimed under such law, the duration of any such warranty is limited to the minimum period permitted by such law.

§ 15 — Liability cap, arbitration, and class-action waiver

The trading-specific limitation of liability, mandatory binding individual arbitration, class-action waiver, governing law, and forum are set out in the Trading Terms, which is incorporated into these Terms by reference and forms a single contract together with these Terms. In summary, and without limiting that document:

Read the Trading Terms in full. The exclusions and the arbitration commitment are material to W.S. Trading Co.’s decision to offer WS Terminal at the current price, and they apply to the maximum extent permitted by applicable law.

§ 16 — Indemnification

You cover us for losses caused by your misuse

You agree to defend, indemnify, and hold harmless W.S. Trading Co. and its officers, directors, employees, contractors, and agents from and against any and all claims, demands, losses, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your breach of these Terms, the Trading Terms, the Disclaimer, or the Refund Policy; (b) your use of the Software or any other Service in violation of applicable law, exchange rule, broker rule, or any regulatory requirement applicable to your trading activity; (c) your trading activity and any losses you or any third party suffer as a result; (d) your sharing of license credentials with any third party; (e) your provision of fraudulent or misleading information to W.S. Trading Co., to Whop, to Discord, or to Interactive Brokers in connection with the Software; or (f) any claim that content you have submitted to the cloud API, the Discord, or any other Service infringes a third party’s rights.

W.S. Trading Co. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with W.S. Trading Co. in asserting any available defenses.

§ 17 — Termination

When and how the license ends

By you. You may terminate your subscription at any time by cancelling it through your Whop account, as described in § 05. Termination takes effect at the end of the current billing period.

By us. We may suspend or terminate your license, your access to the cloud API, your access to the Discord, or any other Service, with or without notice, if you breach these Terms, the Trading Terms, the Disclaimer, the Refund Policy, the Discord server rules, or any applicable law; if your account is the subject of a payment dispute, chargeback, or fraud investigation; if your account presents a security risk to other users or to our infrastructure; or if we permanently discontinue the Software or any Service.

On termination. Your license ends. The Software enters a read-only state in which trade-history and acknowledgment data on your local machine remain readable but no new live orders will be placed. Audit logs we retain pursuant to the Privacy Policy and the Trading Terms survive termination. Provisions in these Terms that by their nature survive termination — including § 07 (Prohibited use), § 08 (Intellectual property), § 13 (Privacy), § 14 (Warranty disclaimer), § 15 (Liability cap, arbitration, class-action waiver), § 16 (Indemnification), and this § 17 — continue in effect.

§ 18 — Changes to these Terms

How updates are surfaced

W.S. Trading Co. may revise these Terms at any time. The version in effect at the time of your purchase governs that purchase — later changes do not retroactively reduce W.S. Trading Co.’s obligations for purchases already made. For active subscriptions, changes take effect at the start of the next billing period after the revision is posted, and we will surface material changes (changes to the license grant, prohibited use, indemnification, liability cap, or arbitration commitment) in the Software and by email to the address on file before they take effect.

Continued use of the Software or any other Service after the effective date of a revision constitutes your acceptance of the revised Terms. If you do not agree to a revision, your remedy is to cancel the subscription before its effective date.

The “Last updated” date at the top of this page reflects the most recent revision.

§ 19 — General provisions

Boilerplate that still matters

Entire agreement. These Terms, together with the Trading Terms, the Disclaimer, the Refund Policy, the Privacy Policy, and the in-application acknowledgments you accept when using the Software, constitute the entire agreement between you and W.S. Trading Co. concerning WS Terminal and the Services, and supersede all prior agreements, communications, and understandings on the subject.

Severability. If any provision of these Terms is held unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect.

No waiver. A failure or delay by W.S. Trading Co. to enforce any provision of these Terms is not a waiver of that provision or any other provision.

Assignment. You may not assign or transfer these Terms or any of your rights or obligations under them without our advance written consent. We may assign these Terms to a successor in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets, on notice to you (which may be by in-application banner, dashboard prompt, or email to the address on file).

Force majeure. W.S. Trading Co. is not liable for failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental or regulatory actions, internet or telecommunications outages, broker outages, exchange outages, or denial-of-service attacks.

Independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between you and W.S. Trading Co. You are not authorized to bind W.S. Trading Co. in any way.

Notices. Notices from us to you may be given by in-application banner, dashboard prompt, email to the address on the license, or post to this website. Notices from you to us must be sent by email to [email protected], with the relevant subject line described in this document or the Refund Policy.

Headings. Section headings in these Terms are for convenience only and have no legal effect.
